Terms of Service

DenebQuote AI (the "Service", available at denebquote.com) is operated by Hearts and Mind Medical Export LLC ("we", "us" or "our"), a Louisiana limited liability company, subject to verification against the company's formation filing. These Terms form an agreement between us and the business that registers an account ("Customer" or "you").

The Service is intended for businesses, including importers, brokers, wholesalers and trading companies, for commercial purposes. It is not offered to consumers. By registering, you confirm that you act on behalf of a business and have authority to bind it.

The Service may be accessed internationally. You are responsible for complying with the laws that apply to your use, including customs, export-control and sanctions requirements.

• You must provide accurate registration information and keep your credentials confidential.
• You are responsible for activity under your account.
• Notify us promptly of suspected unauthorized access at sales@heartsandmindexport.com.

You must not:

• use the Service for unlawful, fraudulent or sanctions-violating activity;
• attempt to access another account's data, probe or disrupt the Service, or reverse-engineer it except where applicable law expressly permits; or
• upload malicious files or content you do not have the right to use.

You retain ownership of data you enter or upload, including quotations, supplier information, pricing, uploaded documents, company settings and logos ("Customer Data").

You grant us a limited, non-exclusive license to host, process and transmit Customer Data only as reasonably necessary to provide, secure, maintain and support the Service. We do not sell Customer Data. See the Privacy Policy.

The Service is designed to keep each account's records private to that account. We use reasonable safeguards, but no system can be guaranteed free from every security risk.

Each party will protect the other party's non-public business information with reasonable care and use it only for purposes of this agreement, except where disclosure is required by law. Supplier costs, margins and internal notes are treated as Customer confidential information.

Landed-cost, cost-per-unit, gross-profit, gross-margin and markup calculations use deterministic formulas applied to figures you enter. AI is used only to help read supplier documents; extracted values are suggestions you must review before applying them. Trade Intelligence shows reference information retrieved from official sources and is never applied to your calculations automatically.

The Service currently relies on third parties and external sources, including:

• Lovable, for application hosting, managed backend services (database, authentication, file storage, server functions, logging) and the AI gateway;
• Google, for optional sign-in and web fonts;
• an OpenAI model reached through Lovable's AI gateway, for supplier-document extraction; and
• official government tariff and notice services, including United States and United Kingdom sources, for Trade Intelligence.

The contracting entity, subprocessors, processing locations and retention terms for Lovable's managed services and the underlying AI model: [TO BE CONFIRMED: provider terms applicable to this project]. Official government sources provide reference data and are not processors of Customer Data. We are not responsible for the availability, accuracy or independent terms of third-party services.

There are currently no paid plans, subscription charges, paid trials or automatic renewals. See the Subscription and Cancellation Policy. If paid plans are introduced, their pricing and terms will be established separately and disclosed before any charge.

We own the Service, its software and design, and the DenebQuote AI brand. Nothing in these Terms transfers those rights to you. We may use feedback you provide to improve the Service.

You may stop using the Service at any time. We may suspend or terminate access for material breach, unlawful use or a security risk. Stopping use or signing out does not delete an account.

You can request deletion of your account from Company Settings in the Service or by emailing sales@heartsandmindexport.com. We verify account ownership before processing. After a request, there is a 7-day recovery period during which you can export your quotations or cancel the request. We aim to complete deletion within 30 days of verification, subject to applicable legal requirements.

Deletion removes your account information, quotations, company settings, stored logos and saved Trade Intelligence records. We keep only minimal agreement-acceptance audit records (accepted versions, method and time) for [TO BE CONFIRMED: audit-record retention period]. To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, accuracy or uninterrupted availability.

To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or lost profits, revenue or data, including losses from pricing, quoting, customs or trade decisions made using the Service. Our total liability is limited to [TO BE CONFIRMED: liability cap and currency]. Nothing limits liability that cannot lawfully be limited.
